Terms of Service
The agreement between you and XD Software Solutions LLC d/b/a I’d Ship That for the I’d Ship That website and apps.
What changed in v2.1: section 9 (Billing, Adjustments, and Authorization) introduced a flat $1.50 Adjustment Processing Fee applied alongside qualifying carrier adjustment charges, replacing the prior tiered convenience-fee schedule. The fee is waived on each account’s first APV event and on carrier adjustments under $1.00. It applies only to APV events processed on or after the effective date.
What changed in v2.2: the 18+ requirement is stated as its own section, and section 9.2 sets out how your Gold balance works — it never expires, carries no dormancy or inactivity fee, is not transferable, and is refundable when you close your account.
1. Who we are and scope#
The I’d Ship That website at app.idshipthat.app and the associated native applications (the “Service”) are provided by XD Software Solutions LLC d/b/a I’d Ship That (“Company,” “we,” “us,” “our”). Certain features may be subject to additional terms posted within the Service; those additional terms are incorporated by reference.
The Service is a software platform and not a carrier. We facilitate label purchase, tracking, and related workflows with carriers and partners. All transportation of shipments is performed by the applicable carrier under its own terms.
Definitions#
- Carrier: the shipping company transporting parcels (for example USPS, UPS, FedEx).
- Gold: your in-app stored-value balance used to pay for labels and adjustments.
- Adjustments (also “APV”, Automatic Package Verification): carrier-assessed charges after purchase (for example actual weight or dimensions, address correction, surcharges).
- Adjustment Processing Fee (APF): a flat per-event platform fee applied alongside qualifying Adjustment charges. See section 9.
- Package Protection: optional coverage administered by partners and subject to their terms.
2. Age requirement#
The Service is for adults. You must be at least 18 years old to create an account or use the Service. By using it you represent that you are. We do not knowingly provide the Service to anyone under 18, and we will close an account when we learn its holder is under 18.
3. Eligibility and account#
- You agree to provide accurate, current account information and to keep it updated.
- We may require verification or KYC (for example government ID, business documentation, invoices, proof of product ownership or source) before enabling or continuing access, in our compliance discretion.
4. License and restrictions#
We grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Service for your own shipping needs. You may not: (a) resell or broker the Service, (b) reverse engineer or create derivative works, (c) copy or scrape the Service except as permitted by law, (d) use automated scripts to create accounts or perform automated actions, (e) build a competing service, or (f) circumvent security or usage limits.
5. Prohibited resellers and third-party shipping#
The Service is intended for individuals and businesses shipping their own goods. You may not operate as a reseller or broker of labels or ship on behalf of third parties without our express written authorization. Evidence of reseller behavior (for example storefront aliasing, multiple linked accounts, mismatched payment or shipper identity, rapid volume ramps, repeated vague commodity descriptions) may result in verification holds, limits, additional fees, or termination.
6. Prohibited and restricted items; compliance#
You must comply with all applicable laws and carrier rules (for example USPS, UPS, FedEx) including their prohibited and restricted items lists. You are solely responsible for your shipment contents, descriptions, packaging, weights, and dimensions. Examples of commonly prohibited or restricted categories include, but are not limited to: hazardous materials, narcotics and controlled substances, weapons, counterfeit goods, stolen goods, certain batteries, live animals, and items prohibited by export or import controls or sanctions. If we or a carrier determine an item is prohibited or restricted, the shipment may be refused, seized, returned, or destroyed at your cost.
We may place compliance holds, require documentation, or deny labels where risk indicators are present (for example vague or misleading descriptions, repeat disputes or adjustments, metadata linkages to previously noncompliant accounts).
7. User content and conduct#
“User Content” includes information you submit (addresses, descriptions, images and so on). You represent you have rights to submit it and that it does not violate others’ rights or laws. You will not upload malware, send spam, harvest data, or interfere with the Service. We may remove content, suspend, or terminate accounts for violations.
8. Carriers, partners and insurance#
Carrier and partner services (including any package protection or insurance) are provided under their separate terms and policies. Approvals, coverage limits, documentation requirements, timelines, and exclusions are determined by those parties. We will advocate when possible, but the final decision rests with the carrier or insurer. If a package is not insured, related issues must be taken up directly with the carrier.
8.1 Cooperation and information sharing#
To prevent fraud and comply with law and carrier policies, you authorize us to share relevant account, shipment, and transaction information with carriers, insurers, payment processors, platform partners, or law enforcement, consistent with our Privacy Policy.
9. Billing, adjustments (APV), and authorization#
You authorize us to (i) charge your payment method or methods on file and (ii) deduct from your in-app balance (“Gold”) for label purchases, carrier adjustments, and applicable fees. “Adjustments” include carrier-assessed differences due to actual weight, dimensions or service, address corrections, return charges, surcharges, delivery area or remote fees, and other carrier charges. Carrier adjustments are passed through to your account at the amount assessed by the carrier.
Card versus balance pricing. Prices shown for card payment include the cost of card processing. You may pay a lower price by using your in-app balance, which you can fund for free by bank transfer or instantly by card. The difference between the card price and the balance price reflects our cost of accepting cards; it is a price difference, not a separate surcharge, and applies to the same labels regardless of the type of card used.
9.1 Adjustment Processing Fee#
When a carrier assesses a post-shipment adjustment that results in a charge to your account, we apply a flat $1.50 Adjustment Processing Fee in addition to passing through the carrier’s charge. The fee covers our operational cost of reconciliation, ledger work, support handling, and account servicing associated with each adjustment event.
The Adjustment Processing Fee is waived:
- First-offense waiver — your account’s very first APV event is not charged the fee. Every account receives this one-time waiver.
- Micro-adjustment waiver — the fee does not apply when the carrier’s adjustment amount is under $1.00.
- Refunds and credits — the fee applies only to net charges. Carrier refunds, credits, or corrections that reduce your liability are never subject to it.
The fee is itemized separately in your transaction history as “Processing Fee” (or “Adjustment Processing Fee”), shown as a distinct line item alongside the underlying carrier adjustment. It is non-refundable and is independent of any dispute you may pursue with the carrier over the underlying adjustment; the fee covers our reconciliation work, which is performed whether or not the underlying carrier charge is later reversed.
We may issue an invoice for unpaid balances. You agree to pay all amounts due and to keep a valid payment method on file. Repeat adjustments or policy violations may result in higher risk fees, shipping limits, holds, or termination.
9.2 Your Gold balance#
Gold is a prepaid balance you load in order to pay for labels, adjustments and fees on this Service. It is denominated in US dollars, it is not a gift card, and it is not legal tender.
- It never expires. Your balance remains available for as long as your account is open, however long it sits unused.
- No dormancy, inactivity or maintenance fee is ever deducted from it.
- It is not transferable to another account, another person, or any use outside the Service, and it cannot be sold or assigned.
- It is refundable on account closure. When you close your account, or ask us to, we return the remaining balance to the original payment method where possible, or by another reasonable method, less any amounts you actually owe us (for example carrier adjustments already assessed). Ask at support@idshipthat.app.
- Balance top-ups themselves are not a purchase of a good or service and are not a subscription.
9.3 Subscriptions and auto-renewal#
If you purchase a subscription (for example Pro), it automatically renews at the then-current price at the end of each billing period until you cancel. Cancel at least 24 hours before renewal through the same channel you used to subscribe (in-app purchase settings, the app store subscription screen, or the billing portal for a card subscription). We may change subscription pricing or features on future renewals, with advance notice where required by law. Partial periods are not refunded unless the law requires it. You are responsible for keeping your payment method valid to avoid interruption.
10. Chargebacks and disputes with your card issuer#
You agree to first contact support@idshipthat.app to resolve billing concerns before initiating any card dispute. Initiating a chargeback without first engaging us may result in account fees, restriction, or termination. If a chargeback is reversed in our favor, you authorize us to re-charge your payment method and recover our reasonable costs.
11. Refunds#
Refund requests must meet all of the following: (1) the account is in good standing; (2) the label is unused and has not been scanned by the carrier; (3) the product is actually refundable with the carrier (certain services, such as USPS envelopes and flats, are not). Submit requests to support@idshipthat.app. Partial refunds may be granted as a courtesy at our discretion. We are not responsible for carrier performance; delivery issues are not eligible for a refund from us unless expressly stated otherwise. This section does not limit the Gold balance refund right in section 9.2.
12. Redirected or misdelivered packages#
If a parcel addressed to a recipient is delivered to us, we will notify you at your account email. If we do not hear back within 90 days of the first notice, the package will be deemed abandoned and we will have no further responsibility.
13. SMS and text terms#
By opting in, you agree to receive recurring shipment updates and notifications via SMS. Message frequency varies by activity. Message and data rates may apply. Reply STOP to cancel, HELP for help. Carriers are not liable for delayed or undelivered messages. For support, contact support@idshipthat.app.
14. Privacy#
See our Privacy Policy for how we collect, use and share data, and Your Privacy Choices to opt out of the sale or sharing of your personal information. By using the Service, you consent to electronic communications and notices.
15. Service changes; availability; no warranties#
We may change, suspend, or discontinue all or part of the Service at any time. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. We do not warrant uninterrupted or error-free operation or that the Service is free from harmful components.
16. Limitation of liability#
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE 6 MONTHS PRECEDING THE CLAIM OR (B) $50.00. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, THE ABOVE LIMITS APPLY TO THE FULLEST EXTENT PERMITTED.
17. Indemnity#
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from claims and expenses (including reasonable attorneys’ fees) arising out of: (a) your shipments or contents; (b) your use of the Service; (c) your violation of these Terms or law; or (d) your User Content.
18. Intellectual property; feedback; DMCA#
All rights in the Service are owned by us or our licensors. You grant us a worldwide, royalty-free license to use feedback you provide. To report alleged copyright infringement (DMCA), email support@idshipthat.app with a compliant notice; do not send physical mail.
19. Modifications to these terms#
We may update these Terms by posting the revised version with an updated effective date. For material changes, we will provide advance notice (for example in-app notice or email). Continued use after the effective date constitutes acceptance.
20. Dispute resolution; arbitration; class waiver#
PLEASE READ CAREFULLY. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. You and we waive any right to a jury trial and to participate in a class or representative action. The arbitrator may award relief only to the extent necessary to provide relief warranted by your individual claim.
- Informal resolution: before filing, the complaining party must email a written Notice of Dispute to support@idshipthat.app and engage in good-faith efforts (including optional mediation) for 30 days.
- Venue and governing law: Ohio law (without regard to conflicts rules) governs these Terms, and arbitration will be conducted in English, seated in Cuyahoga County, Ohio, unless you and we agree otherwise or AAA rules provide for a remote or desk arbitration.
- Small claims: either party may bring an individual claim in small claims court in Cuyahoga County, Ohio.
- Confidentiality and severability: arbitration shall be confidential to the extent permitted by law. If the class waiver is found unenforceable, the entirety of this arbitration section shall be void.
21. Export; sanctions; compliance#
You agree to comply with all US export, re-export, and sanctions laws and not to use the Service in violation of them.
21.1 Sanctions screening#
You represent that you are not, and your shipments are not to, from, or for the benefit of, any person or entity on US or other applicable sanctions lists, and are not destined for embargoed jurisdictions. We may screen and refuse service where required by law or partner policy.
22. Termination#
We may suspend or terminate access at any time for actual or suspected violations, risk, fraud, nonpayment, or to comply with law or carrier requirements. Upon termination, your right to use the Service ends; sections that by their nature should survive will survive (including 5–7, 9–22). Termination does not extinguish your right to a refund of your Gold balance under section 9.2.
23. Denial of service#
We reserve the right to refuse service to anyone at any time where permitted by law, including to uphold these Terms, the Prohibited Items Policy, the Reseller Prohibition, and carrier compliance requirements.
